Terms of Use Agreement (TOS)

By using encodi you agree that content you submit to the Encodi will not contain third party copyrighted material, or material that is subject to other third party proprietary rights, unless you have permission from the rightful owner of the material or you are otherwise legally entitled to post the material and to grant Encodi all of the license rights granted herein.

Encodi does not endorse any content submitted to the Encodi.com by any user or other licensor, or any opinion, recommendation, or advice expressed therein, and Encodi expressly disclaims any and all liability in connection with content. Encodi does not permit copyright infringing activities and infringement of intellectual property rights on the Service, and Encodi will remove all Content if properly notified that such Content infringes on another's intellectual property rights. Encodi reserves the right to remove Content without prior notice.

In particular, if you are a copyright owner or an agent thereof and believe that any User Submission or other content infringes upon your copyrights, you may submit a notification pursuant to the Digital Millennium Copyright Act ("DMCA") by providing our Copyright Agent with the following information in writing (see 17 U.S.C 512(c)(3) for further detail): (i) A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed; (ii) Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site; (iii) Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled and information reasonably sufficient to permit the service provider to locate the material; (iv) Information reasonably sufficient to permit the service provider to contact you, such as an address, telephone number, and, if available, an electronic mail; (v) A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and (vi) A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed. For clarity, only DMCA notices should go to the Copyright Agent; any other feedback, comments, requests for technical support, and other communications should be directed to Encodi customer service through support@onlineappsco.com. You acknowledge that if you fail to comply with all of the requirements of this Section 5(D), your DMCA notice may not be valid.

You also agree that materials uploaded are not pornographic in nature, meet all decency laws in therein your local jurisdiction. Furthermore you agree that you will not in any way use Encodi for any illegal activity including but not limited to piracy, electronic theft, or terrorism.

Furthermore you agree to comply with all applicable local, national, and international laws and regulations.

Ownership of Site; Agreement to Terms of Use
These Terms and Conditions of Use (the “Terms of Use”) apply to the Encodi web site located at www.encodi.com, and all associated sites and software applications linked to www.encodi.com by Encodi, its subsidiaries and affiliates, including Encodi sites around the world (collectively, the “Site”). The Site is the property of Online Apps Co and its licensors. BY USING THE SITE, YOU AGREE TO THESE TERMS OF USE; IF YOU DO NOT AGREE, DO NOT USE THE SITE. Encodi reserves the right, at its sole discretion, to change, modify, add or remove portions of these Terms of Use, at any time. It is your responsibility to check these Terms of Use periodically for changes. Your continued use of the Site following the posting of changes will mean that you accept and agree to the changes. As long as you comply with these Terms of Use, Encodi grants you a personal, non-exclusive, non-transferable, limited privilege to enter and use the Site.

Intellectual Property
The Intellectual property of Encodi is owned by Online Apps Co its officers, directors, shareholders, licensors, subsidiaries and affiliates. Any and all investment in Encodi by third parties (investors) will done so under separate contract. Any past or future ideas submission, consultancy, software submission and code, direct monetary investment in product development and any other support and help in the development or running of Encodi (collectively, “investment”) is done so without claim over intellectual property or ownership of the Site. Any benefit to the investor from such investment must be agree in writing in advance of the work being carried out, any subsequent discounts or benefits are at the discretion of Encodi.

Accounts, Passwords and Security
Certain features or services offered on or through the Site may require you to open an account (including setting up an Encodi account and password). You are entirely responsible for maintaining the confidentiality of the information you hold for your account, including your password, and for any and all activity that occurs under your account as a result of your failing to keep this information secure and confidential. You agree to notify Encodi immediately of any unauthorized use of your account or password, or any other breach of security. You may be held liable for losses incurred by Encodi or any other user of or visitor to the Site due to someone else using your Encodi password or account as a result of your failing to keep your account information secure and confidential. You may not use anyone else's Encodi login, password or account at any time without the express permission and consent of the holder of that Encodi login, password or account. Encodi and Online Apps Co cannot and will not be liable for any loss or damage arising from your failure to comply with these obligations.

Limitation of Liability
Except where prohibited by law, in no event will Encodi or Online Apps Co be liable to you for any indirect, consequential, exemplary, incidental or punitive damages, including lost profits, even if Encodi has been advised of the possibility of such damages. If, notwithstanding the other provisions of these Terms of Use, Encodi is found to be liable to you for any damage or loss which arises out of or is in any way connected with your use of the Site or any Content, Encodi’s liability shall in no event exceed the greater of (1) the total of any subscription or similar fees with respect to any service or feature of or on the Site paid in the six months prior to the date of the initial claim made against Encodi (but not including the purchase price for any Encodi software products or similar support program), or (2) US$100.00. Some jurisdictions do not allow limitations of liability, so the foregoing limitation may not apply to you.

Indemnity
You agree to indemnify and hold Encodi and Online Apps Co, its officers, directors, shareholders, predecessors, successors in interest, employees, agents, subsidiaries and affiliates, harmless from any demands, loss, liability, claims or expenses (including attorneys’ fees), made against Encodi or Online Apps Co by any third party due to or arising out of or in connection with your use of the Site.

Encodi Commitment to Security
The Encodi Technology resides on the public internet. Encodi uses reasonable measures to protect the confidentiality and security of communications transmitted to Encodi.com and information stored on servers controlled by Encodi. Encodi commits to not directly allow access to your media or materials for any person or system other than encodi support staff and those you invite to your workspace. Notwithstanding these efforts, Encodi cannot guarantee the confidentiality and security of such electronic communications and storage devices used to store such information (including, personally identifiable information) and disclaims all liability arising therefrom. Encodi commits to permanently remove media and materials from all servers and systems within 1 month of a web-based or emailed request to do so. Or within 2 months of the agreed expiry date of your workspace. At any point during your use of Encodi, upon written request Encodi will provide a copy of all your files on removable disk, the customer is responsible for all transportation and any other direct costs which will be paid in advance of delivery of the data.

Without limiting the foregoing, you shall not (a) violate or attempt to violate the security of the Encodi Technology; (b) access data or materials not intended for you; (c) log into a server or account which you are not authorized to access; (d) attempt to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures; or (e) attempt to interfere with service to any user, host or network, including, without limitation, by means of submitting a virus to the Encodi Technology, overloading, "flooding," "mailbombing" or "crashing" the Encodi Technology. Violations of system or network security may result in civil or criminal liability. Encodi reserves the right to investigate occurrences that may involve such violations and may involve and cooperate with, law enforcement authorities in prosecuting users who have participated in such violations.
